Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Autoryx platform (the "Service") provided by Nexora AI Consultancy FZ-LLC ("Autoryx," "we," "us"), a company registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Autoryx is a dropshipping automation platform that helps merchants research trending products, import and manage listings, and measure advertising performance. We may add, change, or remove features over time.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.

3. Subscriptions and billing

• Paid plans are billed on a recurring basis through Stripe until cancelled. By subscribing you authorize recurring charges to your payment method.
• You can manage or cancel your subscription from the billing portal; cancellation takes effect at the end of the current billing period.
• Free trials, if offered, convert to a paid subscription unless cancelled before the trial ends.
• Except where required by applicable law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, plan downgrades, or unused time. If you are a consumer in a jurisdiction that grants a mandatory statutory right to a refund or to withdraw (for example, certain EU or UK consumers), nothing in this section limits those rights.

4. Acceptable use

You agree not to:

• Use the Service for unlawful, infringing, or fraudulent purposes.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
• Abuse rate limits, scrape the Service, or resell access without permission.
• Violate the terms of any third-party platform you connect or advertise on.

5. Referral and affiliate program

If you participate in our referral or affiliate program, rewards and commissions are subject to program rules, including eligibility, activation, and clawback for chargebacks or fraud. We may modify or discontinue the program at any time.

6. Third-party services and merchant responsibility

The Service integrates with third-party platforms (e.g. product sources, payment, advertising, and email providers). Your use of those platforms is governed by their terms. You are solely responsible for your store, the products you sell, your advertising, and compliance with applicable laws and platform policies.

7. Intellectual property

The Service, including its software and content, is owned by Autoryx and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. Content you provide remains yours; you grant us the rights needed to operate the Service.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not guarantee any particular sales, revenue, or business outcome.

9. Limitation of liability

To the maximum extent permitted by law, Autoryx will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable law does not allow to be limited.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, without regard to conflict-of-laws rules, and the courts of Ras Al Khaimah have jurisdiction over any dispute. If you are a consumer, this does not deprive you of the protection of any mandatory law of your country of residence, including the right to bring proceedings in your local courts where applicable law so provides.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated to you. Continued use after changes means you accept the updated Terms.
